Terms Of Service

1. Introduction

These Terms of Service ("Terms") govern access to and use of the websites, applications, software, and related services provided by Logbase Technologies LLP ("Logbase," "we," "us," or "our"), collectively referred to as the "Services."

The Services include Logbase applications made available through Shopify and other platforms, together with related websites, features, integrations, support services, and functionality.

By installing, accessing, or using any of our Services, you ("Merchant," "you," or "your") agree to be bound by these Terms and the policies and agreements incorporated into these Terms by reference.

If you accept these Terms on behalf of a company or other legal entity, you represent that you have the authority to bind that entity to these Terms.

If you do not agree to these Terms, you must not access or use the Services.

2. Eligibility and Merchant Accounts

You must have the legal capacity to enter into a binding agreement in your jurisdiction to use the Services.

You are responsible for maintaining accurate account information and for activities conducted through your account or Shopify store in connection with the Services.

You are responsible for maintaining the confidentiality and security of your account credentials and for promptly notifying Logbase if you become aware of unauthorized access to your account or use of the Services.

3. The Services

Logbase provides software applications and related services designed to extend ecommerce and business functionality, including upselling and cross-selling, shipping and delivery, pickup and scheduling, bookings and appointments, discounts, preorders, customer assistance, and other ecommerce functionality.

The functionality available to you depends on the application installed, subscription plan selected, store configuration, and features enabled.

Logbase continuously develops and improves the Services and reserves the right to add, modify, or discontinue features. Where a change materially affects the Services, Logbase will provide reasonable notice where practicable.

Feature availability depends on jurisdiction, Shopify plan, store configuration, third-party integrations, and platform capabilities.

4. Shopify and Third-Party Platforms

Certain Services operate with Shopify and other third-party platforms.

Your use of Shopify and other third-party services is governed by the applicable third party's terms, policies, and agreements.

Logbase does not control the availability, operation, modification, or discontinuation of third-party platforms, APIs, or services. Changes made by Shopify or another third-party provider can affect the functionality or availability of Logbase features that depend on those services.

You are responsible for maintaining the Shopify account, permissions, subscriptions, third-party accounts, and other requirements necessary to use the applicable Services.

5. Subscriptions, Fees, and Billing

Logbase offers Services through free plans, paid subscription plans, usage-based pricing, or combinations of these models.

Applicable pricing, billing intervals, usage limits, and plan features are displayed through the relevant application, Shopify, or other applicable purchasing interface.

By selecting a paid plan or using a paid feature, you authorize the applicable charges associated with your use of the Services.

Where billing is processed through Shopify, charges are processed using Shopify's billing mechanisms and are subject to applicable Shopify terms.

Logbase reserves the right to update pricing and plan structures. Where required, we will provide notice of material pricing changes before they become effective.

Unless otherwise required by applicable law or expressly stated by Logbase, fees already incurred are non-refundable.

You are responsible for applicable taxes associated with your use of the Services, except taxes imposed on Logbase's income.

6. Acceptable Use

You agree to use the Services only for lawful business purposes and in accordance with these Terms.

You must not:

• use the Services in violation of applicable laws or regulations;
• infringe the intellectual property, privacy, or other rights of another person;
• upload, transmit, or distribute malicious code, viruses, or harmful material;
• attempt to gain unauthorized access to the Services, systems, networks, or data;
• interfere with the security, integrity, availability, or performance of the Services;
• reverse engineer, decompile, or attempt to derive the source code of the Services except where expressly permitted by applicable law;
• circumvent usage limits, security controls, billing mechanisms, or technical restrictions;
• use the Services for fraudulent, deceptive, abusive, or unlawful activities; or
• use automated methods to access the Services in a manner that materially interferes with their intended operation.

Logbase reserves the right to suspend or restrict access when we reasonably determine that use of the Services violates these Terms, creates a security risk, or could cause harm to Logbase, our infrastructure, another user, or a third party.

7. Merchant Responsibilities

You are responsible for how you configure and use the Services, including rules, campaigns, shipping rates, discounts, bookings, recommendations, customer communications, and other settings configured through the Services.

You are responsible for ensuring that your use of the Services complies with applicable laws, regulations, Shopify requirements, and your obligations to your customers.

Where the Services process information relating to your customers, you are responsible for providing appropriate privacy notices and establishing any consent or other lawful basis required for collecting and processing that information.

You are responsible for the accuracy and legality of information, instructions, configurations, and content that you provide through the Services.

8. Data Protection and Privacy

Logbase's collection, use, disclosure, and protection of Personal Information are governed by our Privacy Policy.

When Logbase processes Personal Data on behalf of a Merchant in connection with the Services, the Merchant acts as the data controller and Logbase acts as the data processor.

Such processing is also governed by Logbase's Data Processing Addendum ("DPA"), which is incorporated into these Terms by reference.

The DPA sets out the parties' respective obligations concerning Personal Data, including confidentiality, security, subprocessors, international data transfers, data subject requests, retention, and deletion.

By using Services that involve processing Personal Data on your behalf, you agree to the DPA.

Logbase processes Merchant Customer Personal Data only as necessary to provide the applicable Services and in accordance with the Merchant's instructions, applicable agreements, and applicable data protection laws.

9. Data Access and Permissions

Certain Services require access to information available through Shopify or other third-party platforms.

Depending on the application and functionality enabled, this information includes product and catalog information, inventory information, order information, shipping and fulfillment information, and customer information necessary to provide the applicable functionality.

Logbase accesses this information through permissions authorized by the Merchant or otherwise permitted by the applicable platform.

The specific categories of Personal Information accessed and the purposes for processing them are described in our Privacy Policy , Application Data & Functionality document and DPA.

You are responsible for granting the permissions necessary for the Services to function. Restricting or revoking required permissions can cause some or all functionality to become unavailable.

10. AI-Powered Features

Certain Logbase Services include artificial intelligence and machine-learning functionality, including automated customer responses, product recommendations, visualizations, virtual try-on functionality, and similar features.

Information submitted to these features is processed to provide the requested functionality in accordance with our Privacy Policy.

Logbase does not use Merchant Data or user-uploaded content to train general-purpose artificial intelligence or machine-learning models.

AI-generated outputs can contain errors or inaccuracies. Merchants are responsible for determining how AI-generated outputs are used in their business and for reviewing outputs where appropriate before relying on them for material business decisions.

11. Third-Party Services and Integrations

The Services integrate with third-party providers for infrastructure, data storage, analytics, communications, artificial intelligence, customer support, monitoring, and other functionality.

Certain third-party integrations are also subject to the terms and policies of the applicable provider.

Where a third-party provider processes Personal Data on behalf of Logbase in providing the Services, Logbase manages that provider in accordance with our Privacy Policy and DPA.

Logbase does not control third-party services and is not responsible for their independent availability, functionality, or processing practices.

12. Intellectual Property

The Services, including their software, technology, designs, interfaces, documentation, trademarks, logos, and other proprietary materials, are owned by or licensed to Logbase and are protected by applicable intellectual property laws.

Subject to these Terms and payment of applicable fees, Logbase grants you a limited, non-exclusive, non-transferable, revocable right to access and use the Services for your internal business purposes during the applicable subscription or service period.

These Terms do not transfer ownership of Logbase intellectual property to you.

You retain ownership of content and data that you or your customers provide through the Services.

You grant Logbase the limited rights necessary to host, process, transmit, display, and otherwise use such content and data solely as necessary to provide, maintain, secure, and support the Services in accordance with these Terms, our Privacy Policy, and the DPA.

13. Feedback

If you provide suggestions, ideas, feature requests, or other feedback regarding the Services, Logbase may use that feedback to develop, operate, and improve its products and Services without restriction or compensation.

This provision does not grant Logbase ownership of your Personal Data, confidential information, or proprietary business data.

14. Confidentiality

Each party can receive confidential or proprietary information belonging to the other party in connection with the Services.

Each party agrees to protect such confidential information using reasonable safeguards and to use it only for purposes related to the Services.

Confidential information does not include information that:

• becomes publicly available through no breach of these Terms;
• was lawfully known by the receiving party before disclosure;
• is lawfully received from another source without confidentiality restrictions; or
• is independently developed without use of the other party's confidential information.

A party can disclose confidential information where disclosure is required by applicable law or legal process. Where legally permitted, the disclosing party will provide reasonable notice of such disclosure.

15. Service Availability and Support

Logbase uses commercially reasonable efforts to maintain the availability, security, and reliability of the Services.

The Services can occasionally become unavailable because of scheduled maintenance, upgrades, technical failures, third-party platform issues, infrastructure outages, security events, or circumstances beyond Logbase's reasonable control.

Support availability and response times depend on the applicable application, subscription plan, and support channel.

Unless separately agreed in writing, these Terms do not establish a guaranteed service-level agreement or specific uptime commitment.

16. Disclaimer of Warranties

To the maximum extent permitted by applicable law, the Services are provided on an "as is" and "as available" basis.

Logbase does not warrant that the Services will operate without interruption or errors, or that every result generated through the Services will be accurate or suitable for every business purpose.

Logbase does not guarantee specific increases in sales, conversion rates, revenue, customer engagement, shipping performance, or other business outcomes resulting from use of the Services.

Nothing in these Terms excludes warranties, guarantees, or statutory rights that cannot lawfully be excluded.

17. Limitation of Liability

To the maximum extent permitted by applicable law, Logbase and its partners, officers, employees, affiliates, contractors, and service providers shall not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for loss of profits, revenue, business opportunities, goodwill, or data arising from or relating to the Services.

Except for liability that cannot lawfully be limited or excluded, Logbase's aggregate liability arising out of or relating to the Services or these Terms shall not exceed the total fees paid by the Merchant to Logbase for the applicable Service during the twelve (12) months immediately preceding the event giving rise to the claim.

Nothing in these Terms limits liability to the extent such limitation is prohibited by applicable law.

18. Indemnification

You agree to indemnify and hold harmless Logbase Technologies LLP and its affiliates, officers, employees, agents, and service providers from third-party claims, damages, liabilities, costs, and reasonable expenses arising from:

• your unlawful use of the Services;
• your material breach of these Terms;
• content, data, instructions, or configurations supplied by you;
• your violation of applicable law or the rights of a third party; or
• your failure to obtain permissions or consents required for your use of the Services.

Logbase may, at its discretion, defend or settle third-party claims alleging that your authorized use of the Services infringes intellectual property rights, subject to the limitations set out in these Terms.

Each party's indemnification obligations are subject to prompt notice of the claim and reasonable cooperation in its defense.

19.Suspension, Termination and Discontinuation of Services

You can stop using or uninstall a Service at any time, subject to outstanding payment obligations.

Logbase reserves the right to suspend or terminate access where you materially breach these Terms, fail to pay applicable fees, create a security or legal risk, misuse the Services, or where continued provision of the Services would violate applicable law or third-party platform requirements.

Logbase reserves the right to discontinue, retire, or cease providing any Service or feature as part of its business decisions, product strategy, technical changes, operational requirements, or changes in third-party platform availability. Where reasonably practicable, Logbase will provide advance notice of such discontinuation and communicate any applicable transition options or alternatives.

Where required by applicable law or contractual commitments, Logbase will fulfill its applicable obligations before discontinuing a Service.

Where reasonably practicable, Logbase will provide notice and an opportunity to remedy a breach before terminating access due to a violation of these Terms.

Upon termination or discontinuation of a Service, your right to access and use the applicable Service ends.

Personal Data associated with terminated or discontinued Services is handled in accordance with our Privacy Policy and DPA, including applicable deletion and backup-retention procedures.

20. Changes to the Services and Terms

Logbase periodically updates these Terms to reflect changes to the Services, business practices, legal requirements, and platform requirements.

When material changes are made, Logbase will update the "Last Updated" date and provide additional notice where required by applicable law.

Your continued use of the Services after updated Terms become effective constitutes acceptance of those updated Terms to the extent permitted by applicable law.

21. Governing Law and Disputes

These Terms and any dispute arising out of or relating to the Services are governed by the laws of India, without regard to conflict-of-law principles.

Subject to applicable law, disputes arising out of or relating to these Terms or the Services are subject to the jurisdiction of the courts located in Coimbatore, Tamil Nadu, India.

22. General Provisions

If any provision of these Terms is determined to be unlawful, invalid, or unenforceable, that provision will be enforced to the maximum extent permitted by law, and the remaining provisions will remain in full force and effect.

Failure by either party to enforce a provision of these Terms does not constitute a waiver of that provision or any other right.

You cannot assign or transfer your rights or obligations under these Terms without Logbase's prior written consent. Logbase reserves the right to assign these Terms in connection with a merger, acquisition, corporate reorganization, or sale of all or substantially all of its relevant assets.

These Terms, together with the Privacy Policy, DPA, and applicable service-specific terms or agreements, constitute the agreement governing your use of the Services and supersede prior agreements regarding the same subject matter.

If there is a conflict between these Terms and the DPA concerning the processing of Personal Data, the DPA controls with respect to that processing.
